This Website is owned and managed by Nodely sp. z o.o. that is a company incorporated in Poland, with its registered office in Warsaw at Żwanowiecka 53, 04-846, entered in the Register of Entrepreneurs run by District Court for the City of Warsaw in Warsaw, XIV Commercial Division of the National Court Register under KRS number 0001061171, with NIP (tax identification number): PL9522246503, share capital of PLN 50,000. (“Nodely”, “we”, “our”, “us”).

Service.

1. We are a technology provider. Our services are limited to granting access to the Website containing a catalogue of staking pools for the crypto-asset named ALGO and enabling users to create their own staking pools.

2. Our services are provided “as is” and “as available” and without warranty of any kind, express or implied, to the maximum extent permitted by applicable law. Nodely expressly disclaims any and all warranties of any kind, whether expressed or implied, including warranties and conditions of merchantability, non-infringement, and fitness for a particular purpose, and any warranties implied by any course of dealing and course of performance. No advice or information (oral or written) obtained by you from us shall create any warranty.

3. The Website may occasionally be unavailable due to scheduled or emergency maintenance. We may also discontinue making this Website available to you at any time, at our sole discretion. Neither we nor our third-party service providers shall bear any liability for any inconvenience loss or damage resulting from such downtime or discontinuity.

No investment advice services.

Nodely is not a broker/dealer, or an investment advisor. This is not a service for the giving or receiving of crypto-assets and/or investment advice. None of our content constitutes – or should be understood as constituting – a recommendation to enter in any crypto-asset transactions or to engage in any of the investment strategies presented. We do not provide personalised recommendations or views as to whether a crypto-asset or investment approach is suited to the financial needs of a specific individual.

No crypto assets services.

We do not provide any crypto assets services, notably we do not: (1) hold, manage, provide custody or administration, or otherwise control any crypto-asset for you or on your behalf, (2) provide any service that involves exchanging crypto-assets for other funds or exchanging funds for crypto-assets, (3) receive, transfer or execute any orders for crypto-assets for or on your behalf, (4) provide any services relating to placing crypto-assets, (5) provide any advisory and/or portfolio management services in relating to crypto-assets, and/or provide any services that involve transfer of crypto-assets for or on your behalf.

No content liability.

1. All information displayed anywhere on the Dashboard on the Website comes from the Algorand mainnet ledger which is maintained by third parties independent from us. Our role is limited exclusively to making this information available to you. We do not own and/or control and/or verify the correctness, accuracy of the content presented on the Dashboard and whether it is up to date.

2. You acknowledge that the Dashboard content is intended to be used and must be used for informational purposes only and you use the information provide on the Dashboard at your own risk.

3. Do Your Own Research. It is very important to do your own analysis and verification of all information before making any decision based on your own personal circumstances.

4. We make no representations, warranties or guarantees, whether express or implied, that the content on the Website is accurate, complete or up to date.

No loss liability.

By using our Website, you acknowledge that any staking positions you take are at your own risk and own reward. Before staking you should carefully consider whether using our Website is suitable for you in terms of your circumstances, knowledge, and financial resources. You acknowledge that the value of crypto-assets and the income derived from them can go down as well as up. You also acknowledge that Algorand ledger and protocol are software and, as such, and they may contain errors causing unwanted consequences, including loss of your crypto-assets. Past performance is not a guide to future performance.

No data stored.

We do not collect and/or store any of your data. We do not use cookies and/or create logs of your activity.

The Website may contain links to third-party websites (including, without limitation, content, materials, and/or information in the third-party websites). Such links may be provided for convenience, but they are not controlled by us. You acknowledge and agree that we are not responsible for any aspect of the content, materials, information or services contained in any third-party websites accessible or linked from the Website.

Support.

You acknowledge that staking via the Website is done on an open, permissionless, decentralized and non-custodial protocol named Réti. We do not own, and/or control and/or maintain this protocol. You acknowledge that it is technically impossible for Nodely or any other entity to assist in recovering your crypto-assets if you lose your wallet, private keys, or seed phrase.

General limitations of liability.

1. To the maximum extent permitted by law, we accept no liability for damages, including any loss of profit, and/or damage in connection with the use of the Website, Dashboard content, staking pools, or the creation of your own staking pools by you or any persons acting on your behalf.

2. To the extend not already excluded, our total liability to you for any loss or damages, regardless of their legal basis, is limited to the amount of USD 100.

3. You should, at your own expense, indemnify, and hold Nodely harmless against all claims, liabilities, accusations and actions that arise from or relate to your use of the Website, Dashboard content, staking pools, or the creation of your own staking pools. If such claims are raised and/or pursued against Nodely, you will pay (i) any amounts (including, in particular, any litigation costs and costs of legal services) awarded to a third party in an enforceable judgement and/or fines imposed by authorities or courts, (ii) all amounts payable to a third party and/or authorities and/or courts pursuant to a settlement concluded with such third party or authority, and (iii) compensation for damages suffered by Nodely. You should promptly inform us if such claim occurs and provide Nodely with all necessary information so that Nodely can act effectively to dismiss the claim or accusations.

Applicable law.

1. To matters not covered by the Disclaimer, the provisions of Polish law shall apply.

2. Any dispute or claim arising out of or in connection with these Disclaimer or use of the Website shall be governed by and construed in accordance with the law of Poland. The disputes shall be submitted to the exclusive jurisdiction of the common court for the area of Nodely’s registered office.
